Terms of Service

These Terms and Conditions ("Terms") govern your access to and use of the Liv Exchange digital marketplace platform, including any websites, applications, software, or related services (collectively, the "Platform").

The Platform is operated by Liv Exchange Limited, a company registered in England and Wales (Company Number: 16980117) ("Liv Exchange", "we", "our", or "us").

By accessing or using the Platform, you confirm that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

Liv Exchange is a technology-enabled marketplace designed to facilitate connections between individuals ("Users") and independent third-party providers ("Service Providers") offering educational programs, immersive experiences, training, accommodation, or related services.

Liv Exchange does not:

• Provide, own, operate, or control any services listed on the Platform;
• Act as an agent, employer, partner, or representative of any Service Provider;
• Guarantee the quality, safety, legality, or suitability of any services.

All services are provided directly by third-party Service Providers, and any agreement entered into is strictly between the User and the relevant Service Provider.

To access certain features of the Platform, Users must create an account.

During registration and profile completion, we collect:

• Account Information: First name, last name, and email address
• Profile Information: Date of birth, phone number, nationality, academic level, and field of study (major)
• Address Information: Street address, city, state/region, postal code, and country

This information is required to process course applications and ensure you meet course eligibility requirements. Course providers may have specific requirements regarding age, academic background, or nationality, and your contact information enables them to communicate with you regarding your application.

By registering, you represent and warrant that:

• You are at least 18 years old (or the age of legal majority in your jurisdiction);
• The information provided is accurate, complete, and up to date;
• You will promptly update any changes to your information;
• You consent to your profile information being shared with course providers when you submit a course application;
• You may optionally upload a profile photo to personalize your account, which can be updated or removed at any time.

Users are solely responsible for:

• Maintaining the confidentiality of their login credentials;
• All activities conducted through their account.

You agree to notify Liv Exchange immediately of any unauthorized use or security breach.

Liv Exchange shall not be liable for losses arising from unauthorized access resulting from your failure to safeguard credentials.

Users agree not to:

• Use the Platform for unlawful, fraudulent, or deceptive purposes;
• Provide false, misleading, or inaccurate information;
• Circumvent, disable, or interfere with security-related features;
• Attempt unauthorized access to systems, accounts, or data;
• Use automated systems (bots, scrapers) without authorization.

Liv Exchange reserves the right to investigate violations and take appropriate action, including suspension or termination.

All intellectual property rights in the Platform, including software, code, databases, designs, trademarks, logos, and content, are owned by or licensed to Liv Exchange.

Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose.

No rights are granted except as expressly stated.

The Platform may display or enable access to third-party services, content, or links.

Liv Exchange:

• Is not responsible for third-party services or content;
• Does not verify, endorse, or guarantee Service Providers;
• Is not a party to transactions between Users and Providers.

Any disputes, claims, or liabilities must be resolved directly between the User and the Service Provider.

The Platform is provided "as is" and "as available".

To the maximum extent permitted by law, Liv Exchange disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law:

• Liv Exchange shall not be liable for indirect, incidental, special, or consequential damages;
• Liv Exchange shall not be liable for loss of data, business, reputation, or profits;
• Liv Exchange's total liability shall not exceed the amount (if any) paid by the User to Liv Exchange in the preceding 12 months.

Nothing in these Terms limits liability where such limitation is prohibited by law.

Liv Exchange may suspend or terminate access to the Platform, with or without notice, if:

• These Terms are violated;
• The Platform is misused;
• Required by law or regulatory authorities;
• Necessary to protect Liv Exchange, Users, or third parties.

Account Deletion: Users may delete their account at any time through the Platform settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy and applicable data retention requirements.

Liv Exchange may modify these Terms at any time. Updated versions will be published on the Platform. Continued use constitutes acceptance of the revised Terms.

These Terms are governed by the laws of England and Wales.

Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
